In these terms and conditions the following words and phrases shall save where the context otherwise requires have the following meanings:
‘order’ means this order.
‘the company’ means the company placing the order.
‘the seller’ means the person, firm or company on whom the order is placed i.e. White Space Living Ltd
‘goods’ means the items and / or services which form the subject matter of the order.
i) The title of goods or any part of them, purchased and delivered will remain the property of White Space Living Ltd until paid for in full by the company. Unless otherwise agreed in writing with the seller a preliminary deposit of 50% of the value of the order must be paid on confirmation of the order. This payment will be paid by the company to the seller. The balance of the order is payable upon delivery.
ii) Without prejudice to clause 2.1 any overdue amount will attract an interest rate of 4% over and above the base rate of HSBC.
iii) The seller may request pro-forma payment if the company has not previously placed an order.
All prices quoted are subject to VAT at the current rate and are bona-fide for 30 days from the date of quotation. The quotation may not include packaging or carriage for which additional charges may be made.
i) Delivery shall be made at the place and to the person stated on the order, unless otherwise stated by the company. Change of delivery date must be given in writing by the company with a minimum of 10 working days notice. If less than 10 working days notice is given, the seller may cancel the order or charge storage. Quoted delivery dates are made in good faith and with the best level of knowledge. Dates will be adhered to as far as possible. The seller shall in no circumstances be liable to compensate the company in damages or otherwise for non-delivery or late delivery of goods.
ii) The seller reserves the right to charge the company a failed delivery charge in the event that the company is unable to accept delivery of furniture that has arrived on site. This charge will be levied at a rate of £0.60/mile on the round trip between the start point of the journey and the delivery location unless otherwise agreed.
5. Cancellations or Alterations of order
Cancellation of orders must be made 28 days prior to the agreed delivery date, or the seller may charge for costs incurred. Alterations to the order must be placed in writing 28 days prior to the agreed delivery date and are subject to the consent from the seller.
All warranties shall pass to the company upon full payment.
Risk of loss or damage to the goods shall pass to the company at the time when the goods are delivered.
The company must inspect the goods upon delivery and within 3 working days from the delivery date, shall give written notice to the seller/carrier of any reason where the company may allege that the goods are defective in material or workmanship. In the case of damage defect or other breach of obligation that is not apparent on inspection, a written claim must be made within 7 working days of the delivery date.
The Company reserves the right to alter the specification and withdraw models without prior notice.
